Taxman can't stop it. They are two entirely different companies and the directors of the new company are not directors of the old one. Legally its 2 people unconnected with the old business starting up a new one and the old company's debts are nothing to do with them. The morals of it are of course a different matter but legally they're doing nothing wrong.
